    GENERAL

  1. INTRODUCTION

These Terms and Conditions may change or be updated from time to time. It remains your responsibility to access and check these Terms of Service wherever you access the website. The latest version of these Terms of Service will govern any future usage by you of the website and its associated services. The date on which these Terms of Service were last updated is stated at the end of this document.

    1. investmyschool.com is a website which brings together lenders and borrowers.

    2. Karadoo Finance Limited helps lenders inspect listed loan requests, including interest rates offered by a borrower, and offer an individual loan to a borrower.

    3. Each successful lender provides an individual loan to a borrower. The individual loans are aggregated and the sum of those individual loans is intended to meet the borrower’s total borrowing requirement referred to as the “loan”.

    4. A lender can choose to make a donation instead of, or in addition to an individual loan. See additional "ADDITIONAL TERMS FOR DONATION OFFERS"

    5. Karadoo Finance Limited then organises the individual loans and administers the collection of payments from the borrower.

    6. The ways in which the lender can lent money are:

      1. to provide an individual loan in a listing as described below in clause 26.

      2. buy an individual loan in the secondary market as described below in clause 31.

    7. A lender can make a loan offer, or a donation offer to the borrower.

    8. Once the lender has lent through investmyschool.com, the lender can only reduce that lending through the secondary market available on investmyschool.com, by:

      1. offering a selected Individual Loan for sale by listing it on the secondary market as described below in clause 32.

    9. The lender cannot dispose of an individual loan other than through the secondary market.

  2. LENDER TERMS

    1. These Lender Terms set out the lender's and Karadoo Finance Limited’s obligations with respect to the lender's use of investmyschool.com.

    2. In addition to these lender terms, the lender agrees to other terms when using investmyschool.com. Every borrower enters into a loan agreement with the lender (and the other lenders) each time the lender provides an individual loan.

  3. REGISTERING WITH INVESTMYSCHOOL.COM

    1. The lender must:

      1. be an individual over 18 years old, or a corporate body.

      2. have a UK bank or building society account in the lender's sole or joint name.

      3. be approved by investmyschool.com

    2. The lender must not register with Karadoo Finance Limited more than once.

    3. Karadoo Finance Limited may restrict the lender's access to investmyschool.com, if the lender ceases to be eligible.

  4. ACCESS TO AND USE OF INVESTMYSCHOOL.COM

The username (which is the lender's email address) and the password chosen by the lender provide access to the lender's area of investmyschool.com.

  5. THE LENDER'S KARADOO ACCOUNT

    1. Karadoo Finance Limited will open the lender's Karadoo Finance Limited account, which the lender can view in the "My Account" section of the lender's area of investmyschool.com.

    2. The lender may deposit funds in their account by debit card only.

    3. Each month the borrower will make a single consolidated capital repayment and interest payment to Karadoo Finance Limited by direct debit as per the schedule set out in the loan agreement. The single repayment will then be promptly allocated and distributed to each lender in accordance with the individual loan held by the lender by way of a credit to their account.

    4. Funds credited to the account are held in a client account with Karadoo Finance Limited’s bank. The lender will not receive any interest on money in this account and Karadoo Finance Limited will retain any interest earned.

    5. Unless the funds are blocked as part of the listing or secondary market, (which means that the funds are not available for withdrawal), the lender may withdraw available funds from the account at any time, but should allow 48 hours for processing.

  6. THE RISK CLASSIFICATION

    1. Any lending is done entirely at the lenders’ own risk. The risk classification or the borrower profile on investmyschool.com does not mean that Karadoo Finance Limited recommends that the lender participates in the loan or that the loan will be repaid.

    2. Karadoo Finance Limited applies a risk classification to a proposed loan based on the information provided by the borrower in the loan application. Karadoo Finance Limited also carries out a search at the Companies Registry and of a credit reference agency to check the identity and credit history of the borrower.

    3. The Companies Registry search confirms that the borrower company or limited liability partnership actually exists and is not in liquidation (although the information is not always completely up to date). The search also provides historic accounts, but again not up to date information.

    4. Apart from these checks at the Companies Registry and credit reference agency, which provide only the limited information described above, Karadoo Finance Limited relies only on information provided by the borrower to decide the risk classification and does not independently check this information. This means that Karadoo Finance Limited cannot identify misleading or inaccurate information and the lender takes that risk.

    5. Karadoo Finance Limited does not monitor or update the risk classification.

    6. Karadoo Finance Limited cannot provide any investment, legal, tax or other advice to the lender.

  7. THE BORROWER PROFILE

    1. The information contained in the borrower Profile is provided by the borrower and Karadoo Finance Limited does not check the accuracy or completeness of this information. The borrower may answer questions or provide more information in the Q&A forum on investmyschool.com

    2. The borrower may make statements in the borrower profile (including in a video clip) conveying the borrower's ambitions. Karadoo Finance Limited does not endorse these statements and does not have a view on how likely they are to be realised (if at all).

    3. Karadoo Finance Limited may provide crew and equipment to assist the borrower with filming a video clip but Karadoo Finance Limited does not endorse any video clip.

    4. Karadoo Finance Limited does not check that the information in the borrower profile or the forum has not changed.

    5. If the borrower profile states that the loan is for the purchase of an asset or business, the loan will not proceed if the purchase does not complete.

  8. LOAN AGREEMENT AND DEBENTURE

    1. The borrower's entry into a loan agreement is a standard loan requirement.

    2. The loan agreement and loan terms contain various undertakings and restrictions that the borrower must comply with. Karadoo Finance Limited does not monitor the borrower's compliance.

    3. It is a standard Loan Requirement that the borrower gives a security over all its assets called a Debenture. This simply means that if the borrower does not keep up the payments, any assets it has can be sold to try to reduce the Lender's loss. Nothing guarantees that in this situation the borrower will actually have any assets. Karadoo Finance Limited may decide to waive the requirement for a Debenture and this will be explicitly stated.

  9. SECURED LOANS AND GUARANTEES

    1. The borrower may offer security to support repayment of the loan. The security or otherwise on every loan will be explicitly stated. Security simply means that if the borrower does not keep up the payments, any assets over which a charge is held can be sold to try to reduce the lender's loss. Nothing guarantees that in this situation the borrower will actually have any assets. Where there is only an unsecured personal guarantee from a director of the borrower then the loan is deemed to be unsecured. The security or otherwise on every loan will be explicitly stated and may take the form of:

      1. a legal charge, being a first legal mortgage over land in England or Wales or a standard security in Scotland.

      2. a debenture, being a charge over all of the borrower’s assets.

      3. secured personal guarantee(s) (from a director or any third party) supported by a legal charge.

      4. a group company guarantee(s) from other related companies, supported by a debenture (and either supported by a legal charge or not).

      5. a fixed charge over a specific asset.

    2. The offer of a legal charge, debenture, personal guarantee, secured personal guarantee or group company guarantee or a fixed charge may improve the risk classification of the loan. It provides the possibility of an alternative source of funds to repay the loan if the borrower fails but it cannot ensure that the Loan will be repaid.

    3. When a loan is described as secured, it means it will be supported by a legal charge and the land has to be valued at not less than 50% of the loan amount at the start of the loan agreement. The completion of the legal charge, report on title and a valuation will be additional loan requirements.

    4. Karadoo Finance Limited decides the risk classification of a secured loan based on the borrower's estimate of the value of the land. A report on title and a valuation will be obtained by Karadoo Finance Limited as additional loan requirements if the Listing is successful and the borrower decides to proceed. If either is not satisfactory to Karadoo Finance Limited the loan application will lapse and the blocked funds will be unblocked and added to the available funds on the account.

  10. BORROWER REPAYING OR REFINANCING EARLY

    1. A borrower may repay the individual loans in aggregate on giving one month's notice.

    2. Each borrower may submit an application for a new loan to repay an existing loan. If the new loan is completed, each existing individual loan will be repaid early from the new loan.

  11. FEES

    1. Karadoo Finance Limited charges no investor fee, unless the investor has sold an individual loan on the secondary market.

    2. Karadoo Finance Limited may charge fees to the borrower.

    3. All fees and charges are quoted exclusive of VAT, which will be added at the appropriate rate (where applicable).

  12. DEALINGS WITH THE BORROWER AND ENFORCEMEN

    1. Karadoo Finance Limited has the general authority as the agent of the lenders (see Clause 18) to agree matters with the borrower arising during the course of the lending. For example, Karadoo Finance Limited may be asked by a borrower to consent to a change or an action by the borrower either under the loan agreement or separate from it. Karadoo Finance Limited may agree or refuse consent on behalf of the lenders, without approaching (or informing) the lenders.

    2. Karadoo Finance Limited will take action in the exercise of its powers and duties, as it considers appropriate.

    3. Karadoo Finance Limited will never agree to amend the principal amount or term of the loan or reduce the interest rate.

    4. The borrower must pay to terms. Payment must be made on time, in full, and without any deduction, set off or counterclaim. In the event that the borrower fails to make a loan repayment by the required date as set out in the loan agreement, Karadoo Finance Limited will refer the matter to a debt management company, which will incur costs for the Borrower.

      1. Karadoo Finance Limited may at its sole discretion allow a period of 7 days from the scheduled payment date for the borrower to remedy, being to contact Karadoo Finance Limited and make a manual payment of the scheduled instalment within that period.

      2. If the borrower only pays part of the amount due, Karadoo Finance Limited will hold that amount, pending resolution of the default or enforcement action.

    5. In the event that at any time, in the opinion of either Karadoo Finance Limited or the debt management company that the borrower is unlikely to pay the overdue loan repayment in a timely manner then Karadoo Finance Limited will pass the loan to that debt management company for recovery of the outstanding loan and interest due to the end of the loan term, which will incur costs for the Borrower.

    6. Karadoo Finance Limited and the debt management company have complete discretion as to the time period that constitutes that timely manner.

    7. Any costs incurred to collect an overdue repayment or debt will be added to the debt balance, plus VAT at the prevailing rate and the borrower will be legally liable to pay that surcharge and to pay interest at the relevant reference rate provided for under the Late Payment of Commercial Debts (Interest) Act 1998, for which interest is payable both after and before any judgment of the court and continues to accrue.

    8. The debt management company will attempt to recover the costs incurred in relation to any default (including enforcing the security and any guarantees) or potential default either from (i) the borrower direct or (ii) any guarantee or security.

    9. The lender will not have any power to take direct action against a borrower or any of the borrower's guarantors or to enforce a debenture or any legal charge. The lender irrevocably agrees to rely on the action taken by Karadoo Finance Limited and its nominated debt management company on behalf of all lenders holding an individual loan.

  13. APPLICATION OF PROCEEDS

    1. In the event that Karadoo Finance Limited or the debt management company is unable to recover the full amount due from the borrower, the proceeds (amount) that are recovered will be distributed to each lender in the ratio of the capital amount of their individual loan as a percentage of the borrowers total loan.

    2. If Karadoo Finance Limited or the debt management company is unable to recover any or the whole costs incurred in recovery action from the borrower, then the unrecovered costs will be deducted from (and therefore reduce the amount of) the proceeds before the net proceeds after these costs is distributed to the lenders.

    3. Karadoo Finance Limited will distribute the net proceeds due to the lenders in a prompt and timely manner, and in any case, within 28 days of receipt by Karadoo Finance Limited.

  14. ACCOUNT INFORMATION

The lender's transaction history, current individual loans held and statements of interest earned can be viewed through the lender's area of investmyschool.com.

  15. RESTRICTION OF ACCESS TO INVESTMYSCHOOL.COM

    1. Karadoo Finance Limited may restrict the lender's access to investmyschool.com even if the lender holds an individual loan, has a pending offer or has available funds in the account, if:

      1. the lender requests it, for example because there is a security concern.

      2. Karadoo Finance Limited considers that the lender is in serious breach of these lender terms, the website terms or the forum rules.

      3. the lender uses Investmyschool.com (1) in a way that causes, or is likely to cause, investmyschool.com or access to it to be interrupted or damaged in any way, (2) to compete with, damage the reputation of or otherwise impede the success of Karadoo Finance Limited, investmyschool.com or any other user of investmyschool.com, (3) in connection with a criminal offence, or (4) to send or use any material that is illegal, offensive, abusive, defamatory or menacing, or which contains political campaigning, commercial solicitation, chain letters, or mass mailings.

    2. Restricted access means that the lender will not be able to lent further money using investmyschool.com or post in the forum. Restricted access will not affect the lender's rights and obligations in relation to any individual loan held by the lender, pending offer or available funds in the account.

  16. THE LENDER'S LIABILITY TO KARADOO.

    1. The lender is liable to Karadoo Finance Limited (itself and as agent for the other lenders) for any loss or damage suffered by Karadoo Finance Limited or any user of investmyschool.com as a result of the lender (or a person using the lender's username and password with the Lender's knowledge or permission or through the lender's negligence):

      1. using investmyschool.com in a way that is fraudulent.

      2. breaching these lender terms.

      3. otherwise using investmyschool.com in a way that causes loss or damage to Karadoo Finance Limited or any other user of investmyschool.com.

  17. KARADOO FINANCE LIMITED'S LIABILITY TO THE LENDER

    1. Karadoo Finance Limited is liable to the lender for any loss, damage or cost suffered by the lender arising out of using investmyschool.com, where the loss or damage is a direct result of Karadoo Finance Limited’s negligence or fraud or any breach by Karadoo Finance Limited of these lender terms or any other terms relating to investmyschool.com.

    2. Karadoo Finance Limited is not liable to the lender for any loss, damage or cost arising out of or in connection with any misrepresentation, wilful misconduct or other act of, or any error or inaccuracy in the data entered by, any other user of investmyschool.com.

    3. Karadoo Finance Limited is not liable for any loss, damage, cost or unauthorised activity on investmyschool.com arising out of the lender failing to keep the lender's password secret, failing to log out of the lender's account or otherwise negligently failing to keep the lender's access secure.

    4. Karadoo Finance Limited’s liability to the lender for any loss, damage or cost arising in connection with any individual loan or loans will not exceed the principal amount outstanding to the lender under the individual loan or individual loans giving rise to the liability plus the interest at the interest rate on that principal amount.

    5. Nothing in these lender terms excludes or limits Karadoo Finance Limited’s liability for death or personal injury caused by its negligence or for fraud.

  18. ASSIGNMENT

Karadoo Finance Limited may transfer, or delegate any of its duties under, these lender terms to any person. Karadoo Finance Limited may provide information about the lender and the lender's activities on investmyschool.com to that person.

  19. AMENDMENTS

    1. Karadoo Finance Limited may amend these lender terms from time to time and need not give the lender advance notice of the amendments.

    2. If Karadoo Finance Limited amends these lender terms, the next time the lender logs in to investmyschool.com the lender will be notified of the changes and the date from which the amendments were effective.

    3. If the lender does not approve the amendments the lender should immediately notify Karadoo Finance Limited using the 'contact' form, by phone: 01225 312388, or by post to investmyschool.com Customer Services, BPS House, 5 Fairfield Road, Bath, BA1 6EP and must not add further funds to the account or participate in any further lending transactions on investmyschool.com. Karadoo Finance Limited will treat the lender's notification as a request to restrict the lender's registration with investmyschool.com.

    4. No amendment to these lender terms will adversely affect any of the lender's rights under any individual loans or offers outstanding on the date of the amendment.

  20. NOTICES

    1. All notices given under these lender terms or any other terms relating to investmyschool.com must be in writing and in English.

    2. Karadoo Finance Limited may deliver a notice to the lender by placing a message on the lender's area of investmyschool.com or by email or post to the contact details last known to investmyschool.com.

  22. NO WAIVER

If Karadoo Finance Limited does not enforce any of its rights under these lender terms or any other terms relating to investmyschool.com, it does not mean that Karadoo Finance Limited will be unable to enforce that right in future.

  23. THIRD PARTY RIGHTS

A person who is not a party to these lender terms may not enforce any of these terms.

  24. LAW AND JURISDICTION

    1. These lender terms and any non-contractual obligations arising out of or in connection with investmyschool.com are governed by English law and the English courts have exclusive jurisdiction.

    2. For the benefit of Karadoo Finance Limited and the other lenders, the lender irrevocably submits to the jurisdiction of the English courts and irrevocably agrees that a ruling in those courts will be conclusive and binding on the lender and may be enforced against the lender in the courts of any other jurisdiction.

  25. LISTINGS RELEVANT PERIODS

    1. A borrower has up to two weeks from the date Karadoo Finance Limited assigns the risk classification to a proposed loan to start the listing.

    2. The start of the listing triggers the start of two key periods:

      1. the listing period, which is how long the listing is open for lenders to submit offers to lent.

      2. the completion period, which is the maximum time allowed for the loan process to complete, before the loan application lapses.

    3. Karadoo Finance Limited cannot guarantee that a listing will take place at a particular time. Usually the listing period begins at 9 a.m. on the day after the borrower starts the listing, which is the listing start date and expires at 9 p.m. on the day which is 14 days after the listing start date, unless the borrower closes the listing early.

    4. The completion period begins on the listing start date and expires on the time out date, which is usually six weeks after the listing start date. In exceptional circumstances Karadoo Finance Limited may extend the completion period by 21 days.

    5. The listing will be a successful listing if the loan amount is filled at the time the listing period expires.

  26. LOAN OFFERS

    1. The offer process is described in How it Works and FAQ’s.

    2. To offer an individual loan, the account must hold cleared funds for the amount the lender wishes to lent.

    3. The lender offers to lent money to a borrower by submitting an offer stating the offer amount the lender is willing to lent, and specifically at the rate stated by the borrower in the Loan Request.

    4. The lender may submit more than one offer in a listing.

    5. By submitting an offer, the lender irrevocably appoints Karadoo Finance Limited as the lender's agent and authorises Karadoo Finance Limited to:

      1. block the offer amount so that it is not available for the lender to withdraw from the account. The blocked funds will only be unblocked if the loan application lapses as it is not fully offered, or is not taken up by the borrower.

      2. enter into the loan agreement, and take and sign (where necessary) any security and other documents, as agent for the lender if the listing is successful.

      3. act as security agent and hold the security on behalf of the lender and other lenders.

      4. on completion of the loan requirements on or before the time out date, complete the loan and transfer the loan amount from the account to the borrower.

    6. Interest will only be paid once the loan amount has been paid to the borrower. No interest will be earned by the lender if the loan application lapses or is not taken up by the borrower.

  27. DONATION OFFERS

Alternatively, you can offer to make a donation instead of a loan offer. Please see additional terms in section 34.

  28. RANKING OF OFFERS

    1. Once an offer is submitted, the offer amount will be added to the total of all offers for that Listing.

    2. The lender will be able to see what percentage of the loan amount has been filled.

    3. An individual loan will be allocated to the lender whose offer is recorded first.

    4. When offers have been received that in aggregate meet the amount stated in the loan request, then the status of the loan request is changed to “Loan Complete” and no further loan offers can be made or accepted.

  29. LOAN REQUIREMENTS

    1. Certain standard loan requirements apply to every loan and Karadoo Finance Limited may specify additional loan requirements when assigning a risk classification.

    2. If the loan requirements are not completed by the time out date, the loan application will lapse and no money will be paid to the borrower. The blocked funds will be unblocked and added to the available funds on the account.

  30. TERMINATION OF LISTING AND CANCELLATION OF OFFER BY KARADOO FINANCE LTD.

Karadoo Finance Limited may terminate a listing or cancel an offer if it has any concern about the relevant lender, borrower or Listing process. If the listing is terminated the loan application will lapse and no money will be paid to the borrower. The blocked funds will be unblocked and added to the available funds on the account.

  31. BUYING AN INDIVIDUAL LOAN IN THE SECONDARY MARKET

    1. The lender can buy an individual loan that has been listed in the secondary market by another lender.

    2. To buy an individual loan the lender's account must hold cleared funds for the price.

    3. The lender buys an individual loan at the lender's own risk. A loan may be repaid or refinanced by a borrower, or a borrower may default, at any time.

  32. SELLING AN INDIVIDUAL LOAN IN THE SECONDARY MARKET

    1. The lender can offer an individual loan for sale in the secondary market.

    2. The price must be the par value of that individual loan that has not been repaid by the borrower as shown in the “My Loans” section of the lender's area of investmyschool.com.

    3. The whole individual loan can be sold in the secondary market but cannot be sub-divided further.

    4. Karadoo Finance Limited will charge a fee of 0.25% of the remaining capital amount of the loan part sold.

  33. GENERAL SECONDARY MARKET TERMS

    1. Karadoo Finance Limited cannot guarantee that there will be other lenders who wish to purchase any individual loan listed in the secondary market.

    2. The lender will not be able to sell part of an individual loan:

      1. where the relevant borrower has missed (or only partially paid) a payment when due.

      2. where the relevant borrower has notified Karadoo Finance Limited that it will not be able to make the next payment in full when due.

      3. where the loan is otherwise in default or has been in default.

    3. If a loan becomes ineligible for sale while any individual loan is listed in the secondary market, Karadoo Finance Limited will automatically end the relevant listing.

    4. Karadoo Finance Limited charges the selling lender a sale fee of 0.25% of the total price of each individual loan sold.

    5. All sales in the secondary market are immediate and final when the buying lender confirms that they wish to buy the individual loan.

    6. Immediately following a sale:

      1. Karadoo Finance Limited will transfer the price from the buying lender's account to the selling lender's account (after deducting the Sale Fee).

      2. the buying lender will acquire the individual loan and become a party to the loan agreement with the relevant borrower.

      3. Karadoo Finance Limited will update its records to show the transfer of ownership of the purchased individual loan (so that the purchased Individual Loan appears in the buying lender's “My Loans” section and no longer appears in the selling lender's “My Loans” section).

    7. The lender can withdraw a listing at any time before another lender buys that individual loan. The lender cannot withdraw the listing if another lender has bought the relevant individual loan.

    8. The listing will end automatically on the business day which is 30 days after the listing date, unless the Lender or Karadoo Finance Limited ends the listing early or another lender buys the relevant individual loan. When the listing ends any unsold individual loans will be removed from the secondary market.

    9. After the sale of an individual loan, the selling lender will not receive any further payments in respect of that individual loan, even if the sale is on the monthly payment date. Any interest accrued to the date of sale will be paid to the buying lender.

If you become aware of fraudulent use of your card, or if it is lost or stolen, you must notify your card provider in accordance with its reporting rules. Similarly, if you experience any issues of this nature when using another payment method, you should contact the provider of that payment method for assistance.

    2. Karadoo Finance Limited will never email or phone you and ask you to provide all of your payment details.

  38. GIFT AID INFORMATION

    1. When you donate to a school or charity on the investmyschool.com website and confirm that you are a UK taxpayer in accordance with the requirements of the Gift Aid scheme as they apply from time to time, Karadoo Finance Limited reclaims Gift Aid on behalf of the charity under the Gift Aid scheme.

    2. Karadoo Finance Limited is not an accounting, taxation or financial advisor, and you should not rely on information given on the website to determine the accounting, tax or financial consequences of making a donation to charity.
